Licensing agreements are complex and require legal advice. It is a false economy for a non-legal specialist to draft an agreement which will be interpreted, not just by other executives but by lawyers and possibly courts.

The work of drafting licensing agreements is outside the normal work of a Patent Attorney though they can comment on many aspects of licensing agreements and some, especially in-house Patent Attorneys in larger companies, may specialise in licensing work. Lawyers specialising in drafting intellectual property licensing agreements should therefore also be sought to advise on drafting licensing agreements. Since it may be necessary to use both such lawyers and patent attorneys; if no suitable lawyer is known it may be convenient to ask the firm's patent attorney to recommend one.
