Know How agreements are contracts governing the disclosure of confidential information
A know how agreement is strictly a contract governing the disclosure and use of confidential information and the requirement for the recipient to keep it confidential. Though not strictly a licence it may often be referred to as a licence. If the recipient of the information breaks the agreement, the owner of the Know How will sue for breach of contract rather than infringement.
Know How can be distinguished from 'Show How'
A licensor may provide a licensee with training to enable them to use the licensed technology efficiently. This may often be included in the license agreement along with know how provisions.
